These Terms of Service (the “Terms”) are an agreement between Athena Analytics L.L.C., doing business as
Athena Data Labs (“Athena Data Labs,” “we,” “us”) and the organization or person using Thera (“you,” “Customer”). By
creating an account or using Thera, you accept these Terms. If you are accepting on behalf of a company, you
represent that you have authority to bind that company, and “you” means that company.
Read Section 5 in particular. Thera produces AI-assisted analysis and drafts. Everything it
produces — scores, win probabilities, pricing guidance, and proposal drafts — is decision support,
not professional advice, and requires your review before use. You, not Thera, are responsible for
every bid you submit.
1. The service
Thera is a capture intelligence platform for government contractors. It aggregates public federal procurement
data, scores contract opportunities against your company profile, generates AI-assisted briefings, pricing
analysis, and proposal drafts, and provides pipeline, teaming, and partner-discovery tools. Features may be
added, changed, or retired over time as described in Section 14.
2. Accounts and organizations
You must provide accurate account information and keep your credentials secure. You are responsible for
activity under your account.
An account belongs to an organization (your company or team). Content created in an
organization — company profiles, pipelines, drafts, partner directories — is shared within that
organization and governed by its subscription.
You must be at least 18 and able to form a binding contract to use Thera.
Free trial. New organizations receive a 14-day free trial with one company profile and
every platform feature. Trial usage is limited to three bid workspaces and
30 AI generations (briefings and bid packages) for the duration of the trial. These are
totals, not concurrent limits: closing or deleting a workspace does not restore an allowance. Opportunity
scoring is not limited. Work already started remains fully accessible and editable. No payment method is
required to start a trial.
Subscription. After the trial, continued use requires a paid subscription:
$200 per month for the platform including one company profile, plus
$100 per month for each additional company profile your organization adds.
Trial expiry. When a trial ends without a subscription, access is suspended but your
data is preserved — subscribing restores everything exactly as you left it. Data for accounts that remain
unsubscribed is eventually deleted per our retention policy.
Billing. Subscriptions are billed monthly in advance and renew automatically until
cancelled. You may cancel at any time, effective at the end of the current billing period; we do not
provide partial-month refunds except where required by law.
Price changes. We may change pricing with at least 30 days’ notice; changes apply from
your next billing period after the notice.
Taxes. Fees are exclusive of applicable taxes, which you are responsible for, excluding
taxes on our income.
4. Your content and ownership
You own your content. Company profiles, notes, pricing inputs, partner records, and the
proposals you develop in Thera — including AI-drafted sections after your review and editing — are yours.
To the extent Athena Data Labs holds any rights in AI-generated draft output delivered to you, we assign
those rights to you upon delivery.
License to operate. You grant us a limited, non-exclusive license to host, process, and
display your content solely to provide and secure the service — including transmitting relevant content to
our AI subprocessor when you request a generation.
Our platform. Thera’s software, scoring methodology, design, and branding are the
property of Athena Data Labs. These Terms grant you a subscription-term license to use them and transfer
no ownership.
Feedback. If you send us suggestions, we may use them without obligation.
Your responsibility for inputs. You confirm that content you provide (including past
performance references and key personnel information) is accurate and that you have the right to use it in
proposals. Thera’s drafting is deliberately designed not to invent credentials — but it can only be as
truthful as the profile you give it.
5. AI outputs and advisory nature
Human judgment is a requirement, not a suggestion. Federal procurement rules require an
authorized company representative to certify and sign submissions. Thera will draft; only you can bid.
Everything is advisory. Opportunity scores, win probabilities, risk assessments, market
ranges, pricing scenarios, teaming suggestions, and proposal drafts are analytical estimates and starting
points. They may be incomplete, outdated, or wrong, and they are not legal, financial, accounting, or
professional advice.
You must verify before relying. Review every AI-drafted section, verify every figure,
requirement, and representation against the official solicitation on SAM.gov, and confirm eligibility
(including set-aside status) before submitting any bid.
No outcome guarantees. Thera does not and cannot guarantee that any bid will win, that
any opportunity is accurately valued, or that any partner or prospect is suitable. Contract awards depend
on factors outside any software’s control.
Submission is yours. Thera never submits bids on your behalf. Final review, pricing
approval, certifications, signatures, and submission are performed by you.
Compliance is yours. You are solely responsible for the accuracy of your submissions and
for compliance with applicable law and regulation, including the Federal Acquisition Regulation (FAR) and
truthful-certification requirements.
6. Government data sources
Thera aggregates data from public government sources including SAM.gov and USAspending.gov. This data is
provided by third parties and may be delayed, incomplete, amended, or occasionally erroneous.
The official record for any opportunity is the notice on SAM.gov — always confirm deadlines,
amendments, and requirements there before acting. Thera links every notice to its source.
Thera is an independent product of Athena Data Labs and is not affiliated with, endorsed by, or
operated by the U.S. General Services Administration, SAM.gov, or any government agency.
7. Network listings
Publishing a subcontractor listing shares the listing’s contents (including any contact details you
enter) with other Thera customers, as described in our
Privacy Policy. Keep listings accurate; don’t impersonate
another business or list capabilities you don’t have.
Thera does not vet, endorse, or guarantee any listed business or discovered prospect. Teaming decisions,
due diligence (licensing, bonding, capacity, references), and any resulting agreements are entirely
between you and the other party.
8. Acceptable use
You agree not to:
share account credentials outside your organization or access another organization’s data;
probe, scan, or test the vulnerability of the service except via responsible disclosure to
support@athenadatalabs.com;
scrape, resell, or redistribute the service or systematically extract its data to build a competing
product;
use the service to draft fraudulent, misleading, or non-compliant submissions — including
misrepresenting certifications, size status, or past performance;
upload malicious code or use the service in violation of applicable law, including export controls and
sanctions;
impose unreasonable load on the service or circumvent usage safeguards (such as data-source quota
protections).
9. Confidentiality
We treat your non-public organization content as your confidential information: we access it only to operate,
secure, and support the service (or with your permission, to troubleshoot an issue you raise), and we do not
disclose it except to the subprocessors listed in our Privacy Policy or as required by law. Your published
network listing is, by your choice, not confidential.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENA DATA LABS
DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE DO
NOT WARRANT THE ACCURACY OR COMPLETENESS OF GOVERNMENT DATA, AI-GENERATED OUTPUTS, SCORES, OR PRICING
ANALYSIS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) ATHENA DATA LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST CONTRACTS OR AWARDS,
LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE
LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE
MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING).
THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND DO NOT APPLY WHERE PROHIBITED BY LAW.
12. Indemnification
You will defend and indemnify Athena Data Labs against third-party claims arising from (a) your bids,
submissions, or certifications to any government agency; (b) content you provide in violation of Section 4;
(c) your violation of these Terms or applicable law; or (d) your dealings with teaming partners, prospects,
or network-listing counterparties.
13. Term and termination
These Terms apply while you use the service. You may stop using Thera and cancel your subscription at
any time.
We may suspend or terminate access for material breach of these Terms (including non-payment), for
security reasons, or where required by law — with notice and an opportunity to cure where practicable.
On termination, you may request an export of your organization’s content within 30 days
(info@athenadatalabs.com), after which our standard deletion
and retention schedule applies.
Sections 4 (ownership), 5 (advisory nature), and 9–16 survive termination.
14. Changes to the service or Terms
We improve Thera continuously and may add, modify, or remove features. We may update these Terms; for
material changes we will give at least 30 days’ notice by email or in-product notice. Continued use after the
effective date of a change constitutes acceptance. If you do not agree, cancel before the change takes
effect.
15. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, USA, excluding its conflict-of-laws
rules. Before filing any claim, both parties agree to try in good faith to resolve the dispute informally by
contacting the other (for us: info@athenadatalabs.com) and
allowing 30 days for resolution. Any claim that cannot be resolved informally will be brought exclusively in
the state or federal courts located in Virginia, and both parties consent to their jurisdiction. Nothing in
this section prevents either party from seeking injunctive relief for misuse of confidential information or
intellectual property.
16. General
Entire agreement. These Terms and the Privacy Policy
are the entire agreement between you and Athena Data Labs regarding Thera and supersede prior
discussions.
Severability. If a provision is unenforceable, the rest remains in effect.
No waiver. Failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent; we may assign them in
connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events beyond its
reasonable control (including outages of government data sources).
Notices. We may provide notices to the email on your account; legal notices to us go to
info@athenadatalabs.com.
